Important Information
These terms and conditions ("Terms") govern your use of 365 Consultancy Ltd, The Saleroom account, a platform dedicated to the auctioning of jewellery, watches, and much more. By accessing or using our services and by placing a bid, you agree to be bound by these Terms.

1. User Agreement
1.1. By participating in auctions on our platform, you agree to abide by these Terms and any additional terms and conditions specific to individual auctions.
1.2. You must be at least 18 years old or have reached the age of legal majority in your jurisdiction to participate in our auctions.
### 2. Registration and Account
2.1. To participate in auctions, you are required to create an account and provide accurate, complete, and updated information.
2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
2.4. If we deem your account to be in breach of any of our terms, we retain the right to terminate your account effective immediately.
2.5. We may carry out checks on any individual account in the interest of fraud protection. Therefore, the auctioneer has the right to request a form of identification belonging to the account owner in the form of driving license, passport, etc.
### 3. Auction Process
3.1. All jewellery items listed for auction on our platform are subject to a reserve price unless otherwise specified. This reserve price may be altered at any time up to 24 hours prior to the sale ending.
3.2. Bidding increments will be determined by the auctioneer and will be communicated prior to the commencement of the auction. These increments may also be altered at any time during said auction.
3.3. The highest bid at the close of the auction will be deemed the winning bid, subject to meeting the reserve price (if applicable).
3.4. In the event of the reserve not being met, the highest bidder may be contacted to agree on the sale. Upon agreeing, the sale will be deemed confirmed, and invoicing will follow accordingly.
3.5. If you are the highest bidder within 24 hours of the sale finishing, you may be contacted to agree your provisional bid be changed to “Reserve met.” If successful, you will be invoiced accordingly.
3.6. The auctioneer retains the right to split or combine any two or more lots and to remove a lot entirely at their discretion. The bidding is regulated by the auctioneer, and they have the right to refuse any and all bids.
3.7. Bidder agrees that all bids submitted are valid with no exceptions and shall, upon submission, not be removed. 365 Consultancy Ltd may contact under bidders to agree on a sale, upon mutual agreement the bidder will be invoiced in line with our terms and conditions.
### 4. Bidding and Payment
4.1. By placing a bid, you are making a binding commitment to purchase the item at the price bid plus any applicable buyer's premium and taxes.
4.2. All lots are subject to a “BUYERS PREMIUM” of 20% plus VAT payable by all buyers.
4.3. Payment must be made in full by 5 PM the next day following the close of the auction unless other arrangements have been agreed upon.
4.4. As the seller, we retain the right to cancel any purchase if the payment is not received within the specified time frame.
4.5. If a deposit was required to participate in the auction or make a purchase, the buyer may forfeit the deposit if they fail to pay the full amount owed within the specified time frame outlined in the payment terms.
4.6. The buyer of any lot shall, if requested, immediately notify his name and address to the auctioneer and if required:
(a) Provide bank/or other credit references.
(b) Pay the full purchase price, or a fractional deposit as may be determined at the discretion of the auctioneer.
4.7. We may pursue legal action if we deem necessary to recover any amount owed to us.
4.8. If a customer fails to complete outstanding payments and creates a new account, we retain the right to obtain the outstanding amount from the previous account via the new account if we deem these to be related to the same individual/company. We also retain the right to collect outstanding balances from previous accounts upon the new account winning any other auctions with us.
4.9. Late payment fees will apply if full payment is not received within the payment deadline set out for this sale, at a rate of 3%+ VAT per day, charged over the total payable invoice amount. (See item information for payment deadline)
4.10. If any buyer fails to comply with any of these Conditions, the lot or lots in respect of which the failure is made may at the discretion of 365 Consultancy Ltd be put up again and resold. The damages recoverable from the defaulting buyer shall include, but not be limited to, the auctioneers' expenses and commission in respect of the resale and the amount (if any) by which the price obtained on the resale is exceeded by that obtained on the first sale.
4.11. For security purposes, all payments are to be made by bank transfer. Cash on arrival payment or card online payment by phone or in person is strictly prohibited. All payments should be made through same-day transfer to the account details hereinafter set out.

### 5. Payment Deadline
5.1. All payments are to be received in full latest by 5 PM the following day after the end of the sale. Any Bidder that will be unable to meet this strict payment deadline should refrain from bidding.
Failure to make the payment by the payment deadline - the vendor holds the right to remove the item from the auction which will result in a cancellation fee owing (the Buyer’s Premium), this will need to be paid within 24 hours of receipt of the cancellation invoice. If the payment is made outside of the payment deadline and the item has been removed from the auction, a refund will be made minus the cancellation fee which is 365 Consultancy Ltd’s loss.
### 6. Shipping and Handling
6.1. The buyer is responsible for all shipping and handling costs associated with the delivery of purchased items unless otherwise specified.
6.2. We will endeavor to ship items promptly following receipt of payment, but we are not responsible for delays or damages incurred during transit.
6.3. If a customer does not arrange a delivery or collection within five days of payment, then a storage fee will be charged at a rate of £50 per day on items valued under £10,000. Items with a value in excess of £10,000 will be charged storage at the rate of £100 per day.
### 7. Authenticity and Condition
7.1. We make every effort to accurately describe and photograph items listed for auction, including disclosing any known defects or issues.
7.2. All items are sold "as is", and we do not offer any warranties.
7.3. The Auctioneer does not accept the opinions of third-party companies used in grading the items and any said opinions from such companies formed based on their own independent research do not affect the auctioneers’ rights and conditions.
### 8. Delivery
8.1. Buyer may request for delivery of any item once the item(s) have been paid for in full. Interested buyers may contact 01638 475400 upon full payment for a delivery quote.
8.2. No refunds will be offered on delivered items. Please see the refund policy for details.
### 9. Cancellation
9.1. Request to Cancel The Sale / Contract: In the event that a winning bidder, after winning an auction has ended, requests to cancel the Contract / Purchase of any lot(s) / item(s), the acceptability of this request shall be at the auctioneer’s discretion. Where the auctioneer concedes to the request, fees set out hereinafter will apply with no exceptions to void the sale:
A non-negotiable cancellation fee charged at the same rate of the buyer’s premium stated within the "additional fees tab." This would be charged to the bidder.
The bidder will be liable to pay for the "Re-Auction" entry fee, charged from £55 + VAT to £200 + VAT (Auction entry fee may vary depending on the item value).
### 10. Viewing
10.1. All Bidders are advised to view any item of interest prior to bidding & the auction end. Viewing is only allowed during the viewing stage and shall not be permitted after the auction has ended.

11.1. Prospective bidders should make an inspection of any item of interest before committing to bid and end of sale. The inspection is to enable potential bidders to form an independent opinion on items of interest and fully satisfy themselves.
Failure to view will fall on the bidder’s shoulders and against the advice of 365 Consultancy Ltd. No excuses will be tolerated.
Inspection by any independent professional or expert shall also be permitted subject to the potential bidder paying the cost for such inspections. This would be required to be carried out prior to bidding and the end of sale.

13. Governing Laws:
Terms & Conditions contained herein are subject to all UK Laws and Regulations. It shall be
immaterial whether or not such Purchaser is from overseas.
14 VAT Refund Info:
VAT will be refunded upon buyer meeting certain requirements and is at the auctioneers
discretion whether a vat refund is given.
VAT is to be paid as shown on the face of the invoice,
The following information will be required of the buyer to be eligible for a VAT reform..
-Full (Non UK) VAT Number,
A bill of laden / Proof of export.
To process refund, VAT Numbers and any other documentation provided by the buyer will be
handed to our Accountant for inspection before any refund.
VAT refund doesn’t cover additional charges but will only be recover the amount paid for the
item. VAT refunds shall also be made only to the buyer of the item and not to any 3rd party.
VAT refunds will only be made where correct documents are supplied within the specified period
in line with the regnant VAT rules in the U.K, ***
365 Consultancy Ltd may direct buyers to obtain refund directly from the U.K government.
VAT
refunds criteria may change at any given time due to government legislation without prior
warning.
15. After Auction:
When auction ends, invoice for any item(s) won whether by reserve met or provisional bid
accepted for any item(s) won will be sent to the winners through the email address supplied on
the bidders account only.
Full Payments are to be made latest by 5pm the following day after end of sale.
Collection
details of purchased item will be forwarded to buyers via email upon full settlement of payment.
Where a bidder wins more than one item, all items will be shown on one invoice and considered
as one transaction.
16. Invoice Details:
After sale has ended, the winning invoices will be issued. Any invoice will be made payable to
365 Consultancy Ltd account details provided within these terms set out.
Requests to alter or update invoice details can only be provided and carried out upon fully
settling the original invoice, on the condition that any such change of details will incur a payment
of £25 in addition to VAT administrative fee.

This will be your initial invoice which will contain the Lot(s) which you’ve been invoiced for, This
invoice will be for the ‘Hammer Price’
Invoice ‘2 of 2’
This will follow once invoice ‘1 of 2’ has been paid, This invoice will include any
applicable ‘Buyers Premium’ & ‘VAT Charges’.
We use this structure of invoicing so our vendors can be paid as soon as the auction ends by
5pm the following day.
17. Dispute Resolution
18. Any disputes arising from auctions, or these Terms shall be resolved through negotiation,
mediation, or arbitration in accordance with [specify governing law and jurisdiction].
19. Limitation of Liability
19.1. To the fullest extent permitted by law, we shall not be liable for any direct, indirect,
incidental, special, or consequential damages arising out of or in connection with your use of our
platform or participation in auctions.
20. Modification of Terms
19.1. We reserve the right to modify these Terms at any time without prior notice. Any changes
will be effective immediately upon posting on our platform.
21. Severability
21.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining
provisions shall remain in full force and effect.
22. Entire Agreement
22.1. These Terms constitute the entire agreement between you and us regarding the subject
matter herein and supersede all prior or contemporaneous agreements and understandings.
By using our platform and participating in auctions, you acknowledge that you have read,
understood, and agree to be bound by these Terms.

1. Types of Bidding:
Bidders may bid for items in person or online. Online bids are to be submitted through the
following platforms.

2. Binding nature of terms and conditions:
All terms and conditions set out herein are binding and by registering to bid, all bidders agree to
be bound by all of the terms and conditions and accept same as binding before registering to
bid with the intention to buy.
No bidders account can / will be approved for bidding until the said bidder has fully agreed to all
terms and conditions / terms of bidding, Bidders that have reservations or objections to any part
or all of the terms and conditions set out herein, if a bidder should object please refrain from
registering to bid as bidding constitutes an acceptance of all the terms and condition as binding.
The binding nature of these terms extends to bidders bidding in person, online by simulcast or
any other means agreed with the auctioneer in writing prior to submitting any bid.
Successful winning bidders agree that they have carefully studied and fully understand any item

All bidders agree that except where there is a valid manufacturer’s warranty remaining or unless
otherwise expressly stated in each individual item information, no item(s) are warranted or
guaranteed by 365 CONSULTANCY LTD or the vendor.
3. Exclusion of Sales of goods Act:
The Sales of goods Act 1979 as amended by the sales and supply of goods act 1994) and the
Unfair contract terms act Regulations,1977 / 1999 shall not apply to every sale made pursuant
to this terms and conditions. The buyer shall have no right to rely upon any conditions or
warranties implied thereby.
4. Online bidding information:
Online bidding information supplied are for guidance purposes only and shall not be relied upon
by potential bidders neither shall it be deemed correct. All potential bidders are therefore
advised not to rely on the online bidding information supplied.
All bidders are encouraged to make independent investigations for themselves to enable them
to form an independent opinion before bidding. Failure to make such investigations put the
bidders at their own risk and with no liability to 365 CONSULTANCY LTD or the vendor.
Bidders and Potential bidders are strongly advised to carefully read and fully understand all
terms and conditions before registering, agreeing to all Terms and Conditions and submitting any bids.

7. How to bid:
Bidding can be done online by all potential bidders through the iBidder / BidSpotter/ the
saleroom platforms.
Bidding can also be done in person, by email or telephone if agreed with the auctioneer.

Where a bidder wins more than one item, all items will be shown on one invoice and considered

8. Bidder’s age requirement:
The minimum age for bidding is ’18’ years old. In the event that anyone under the age of 18
places a bid and wins any item, the parent or guardian of such person will be liable to settle any
outstanding invoices.
Where payment is not be received within the payment deadline, Court proceedings shall be
instituted in the Parent / Guardian’s name without exception.
9. Bidding in physical and timed auctions:
It is hereby agreed that all bids shall without exception be valid and Vendors may at any given
time during any live auction without notification alter or remove any set reserve price.
It is hereby further agreed that all bids submitted remains provisional until the reserve price has
been paid before the end of sale.
10. Buyer’s Premium Commission:
Commission is applicable to item and charged in relation to
the Hammer Price.
Bidders are to note that commission rates may vary from item to item depending on the
particular item. Buyers are advised to always check the ‘Additional Fees’ tab located on each
particular item.
VAT at the rate of 20% will be charged on all buyers’ premium commission charges.
Bidders also have a responsibility to fully calculate the total amount including hammer / bid
price, buyer’s commission and VAT where applicable.
14. VAT Rates:
Unless otherwise stated, VAT will be added on top of the final hammer price charged at the
current UK rate of 20%.

15. Request for removal of bids:
Upon a bid being submitted, such bid remains valid without exception and shall not be removed
or cancelled unless the bidder pays the Buyer’s Premium Commission which is otherwise

16.1 Provisional bids / Reserve not met:
For the highest bidder in an auction at the end of sale, 365 Consultancy Ltd may contact
vendors to allow time for the consideration of the bid.
16.2. We may contact provisional bidders in the event that the reserve is not met, provisional
bidders will be given the option to stand off of the item or agree to the sale.

All bids are valid with no exceptions and all provisional bids shall be responded to within 48
hours after the end of sale.
17. Reserve Met / On Sale:
36 Consultancy Ltd may upon any item meeting the set reserve price and such item being
marked “On Sale”, subject to the auctioneer’s discretion any item may be invoiced before the
end of sale.
Where any item is invoiced before the end of sale, the invoice is to be paid within 48 Hours, and
other payment timelines contained in this terms and condition shall be inapplicable in this
regard.
18. Buy-it-now:
Where there is a ‘Buy-it-now’ offer available, in respect of any item, any potential bidder shall
note that all additional fees attached to the item are in all events payable on the ‘Buy it now’
price.
19. After winning any item:
Upon winning an item, an invoice will be sent to the winner through electronic mail only within
24 hours after the end of auction. Unless otherwise expressly stated, all invoices are to be paid
in full by bank transfer only, not later than close of business (5pm) the following day. Cards
payments are strictly prohibited.
20. Failure to make payment:
Non-payment is totally prohibited and failure to make full payment under these terms and
conditions will result in the following.
The buyer shall on the day of cancellation, pay the buyer’s premium at the rate shown (auctions
loss) in the items "additional fee tab"; in the event that the account holder or any attached
company decides for any reason to withdraw from the purchase.
21. Proceedings for non-payment:
County court proceedings will immediately be applied for CCJ / Bailiff / Sheriff action will be
commenced to recover the outstanding fees in addition to the cost of instituting such actions
and other incidental costs.
Where a legal action is instituted at the county court proceedings for outstanding fee’s, buyer
shall be responsible for outstanding invoice amount, late payment fee’s, storage fee’s, legal fees
to recover outstanding funds, buyer’s premium charged, interest on the total outstanding
amount (at 8% per annum interest rate) and any other costs incurred.
22. Request to Cancel Sale:
In the event that a winning bidder, after winning and auction has ended, requests to cancel the
Contract / Purchase of any item, the acceptability of this request shall be at auctioneer’s
discretion. Where auctioneer concedes to the request, fees set out hereinafter will apply with no
exceptions to void the sale:
A non-negotiable cancellation fee at the rate of the buyer’s premium stated within the "additional
fees tab”.
The bidder will be liable to pay for the Re-Auction; entry fee, charged from £55+vat to £200+vat
(Auction entry fee. may vary depending on the item value)
23. Deposit Request:
Auctioneer may ask any new or existing bidder for a £300 deposit from
the account holder.
Such deposit shall be refunded by bank transfer to non-successful bidders within 48 hours of
the end of auction sale. The deposit may not be refunded where the bidder desires to leave it on
account.
24. Removal of Items:
Auctioneer may for any reason and at any given time remove any item
from any current live auction.
25. Viewing items:
The buyer is strongly advised by to view item before bidding. Any Bidder that bids without prior
viewing shall bear the responsibility for failure to exercise the right of viewing, and 365
Consultancy Ltd and the vendor shall incur no liability in this regard.

26. Item testing.
Unless otherwise expressly stated in any item information, items are not tested by 365
Consultancy Ltd.
Bidders are encouraged to study item information before submitting any bid. Bidders are

Bidders are informed that vehicles shall not be tested or driven on public highways.
27. Images of Items.
Bidders are informed that all photos uploaded are strictly for the purpose of showing the interior
and exterior of the items and should be treated only as guideline.
Bidders are also informed that library photos may be uploaded in some cases where it is difficult
to obtain original images of the item.
Where example photos are used, this will be stated in the auctioneers’ notes, example photos
may not represent a true example of the vehicle/item. Please contact the auctioneer for
verification of the model as these may differ for each vehicle/item.
Bidders are further informed that damages to any item due to the item colour, photo angle or
weather sometimes may be difficult to see in images.
Images may vary owing to weather conditions and 365 Consultancy Ltd shall bear no liability for
any loss resulting from any such events.

28. Delivery/Collection
Once payment has been made you will have 5 days from that date to arrange delivery or
collection of the item by contacting us via 01638 475400. Please be aware delivery will incur an
additional charge. Failure to arrange delivery or collection within the time frame will result in a
storage fee at £50 per day on items with a value of under £10000. Items with a value in excess
of £10000 will incur storage fees at the rate of £100 per day.
29. Diamond Lots
All diamond lots have been described by the vendor and will come with GIA certification (unless
otherwise stated in which case another major gemmologist institute will be used) and grading.
Information on each specific diamond can be found in the item description for each lot. This will
include clarity and colour and all other information relating to the item updated to the best of our
knowledge.
Please look at certification numbers to search for further details not listed on the description, "LG" stands for lab grown if "LG" isnt present this usually means the stone(s) are Natural.

2.1. To participate in auctions, you are required to create an account and provide accurate, complete, and updated information.
2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2.3. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
2.4. If we deem your account to be in breach of any of our terms, we retain the right to terminate your account effective immediately.
2.5. We may carry out checks on any individual account in the interest of fraud protection. Therefore, the auctioneer has the right to request a form of identification belonging to the account owner in the form of driving license, passport, etc.
### 3. Auction Process
3.1. All jewellery items listed for auction on our platform are subject to a reserve price unless otherwise specified. This reserve price may be altered at any time up to 24 hours prior to the sale ending.
3.2. Bidding increments will be determined by the auctioneer and will be communicated prior to the commencement of the auction. These increments may also be altered at any time during said auction.
3.3. The highest bid at the close of the auction will be deemed the winning bid, subject to meeting the reserve price (if applicable).
3.4. In the event of the reserve not being met, the highest bidder may be contacted to agree on the sale. Upon agreeing, the sale will be deemed confirmed, and invoicing will follow accordingly.
3.5. If you are the highest bidder within 24 hours of the sale finishing, you may be contacted to agree your provisional bid be changed to “Reserve met.” If successful, you will be invoiced accordingly.
3.6. The auctioneer retains the right to split or combine any two or more lots and to remove a lot entirely at their discretion. The bidding is regulated by the auctioneer, and they have the right to refuse any and all bids.
3.7. Bidder agrees that all bids submitted are valid with no exceptions and shall, upon submission, not be removed. 365 Consultancy Ltd may contact under bidders to agree on a sale, upon mutual agreement the bidder will be invoiced in line with our terms and conditions.
### 4. Bidding and Payment
4.1. By placing a bid, you are making a binding commitment to purchase the item at the price bid plus any applicable buyer's premium and taxes.
4.2. All lots are subject to a “BUYERS PREMIUM” of 20% plus VAT payable by all buyers.
4.3. Payment must be made in full by 5 PM the next day following the close of the auction unless other arrangements have been agreed upon.
4.4. As the seller, we retain the right to cancel any purchase if the payment is not received within the specified time frame.
4.5. If a deposit was required to participate in the auction or make a purchase, the buyer may forfeit the deposit if they fail to pay the full amount owed within the specified time frame outlined in the payment terms.
4.6. The buyer of any lot shall, if requested, immediately notify his name and address to the auctioneer and if required:
(a) Provide bank/or other credit references.
(b) Pay the full purchase price, or a fractional deposit as may be determined at the discretion of the auctioneer.
4.7. We may pursue legal action if we deem necessary to recover any amount owed to us.
4.8. If a customer fails to complete outstanding payments and creates a new account, we retain the right to obtain the outstanding amount from the previous account via the new account if we deem these to be related to the same individual/company. We also retain the right to collect outstanding balances from previous accounts upon the new account winning any other auctions with us.
4.9. Late payment fees will apply if full payment is not received within the payment deadline set out for this sale, at a rate of 3%+ VAT per day, charged over the total payable invoice amount. (See item information for payment deadline)
4.10. If any buyer fails to comply with any of these Conditions, the lot or lots in respect of which the failure is made may at the discretion of 365 Consultancy Ltd be put up again and resold. The damages recoverable from the defaulting buyer shall include, but not be limited to, the auctioneers' expenses and commission in respect of the resale and the amount (if any) by which the price obtained on the resale is exceeded by that obtained on the first sale.
4.11. For security purposes, all payments are to be made by bank transfer. Cash on arrival payment or card online payment by phone or in person is strictly prohibited. All payments should be made through same-day transfer to the account details hereinafter set out.

7.1. We make every effort to accurately describe and photograph items listed for auction, including disclosing any known defects or issues.
7.2. All items are sold "as is", and we do not offer any warranties.

14 VAT Refund Info:
VAT will be refunded upon buyer meeting certain requirements and is at the auctioneers
discretion whether a vat refund is given.
VAT is to be paid as shown on the face of the invoice,
The following information will be required of the buyer to be eligible for a VAT reform..
-Full (Non UK) VAT Number,
A bill of laden / Proof of export.
To process refund, VAT Numbers and any other documentation provided by the buyer will be
handed to our Accountant for inspection before any refund.
VAT refund doesn’t cover additional charges but will only be recover the amount paid for the
item. VAT refunds shall also be made only to the buyer of the item and not to any 3rd party.
VAT refunds will only be made where correct documents are supplied within the specified period
in line with the regnant VAT rules in the U.K, ***

VAT
refunds criteria may change at any given time due to government legislation without prior
warning.
15. After Auction:
When auction ends, invoice for any item(s) won whether by reserve met or provisional bid
accepted for any item(s) won will be sent to the winners through the email address supplied on
the bidders account only.
Full Payments are to be made latest by 5pm the following day after end of sale.
Collection
details of purchased item will be forwarded to buyers via email upon full settlement of payment.
Where a bidder wins more than one item, all items will be shown on one invoice and considered
as one transaction.
16. Invoice Details:
After sale has ended, the winning invoices will be issued. Any invoice will be made payable to
365 Consultancy Ltd account details provided within these terms set out.
Requests to alter or update invoice details can only be provided and carried out upon fully
settling the original invoice, on the condition that any such change of details will incur a payment
of £25 in addition to VAT administrative fee.

applicable ‘Buyers Premium’ & ‘VAT Charges’.
We use this structure of invoicing so our vendors can be paid as soon as the auction ends by
5pm the following day.
17. Dispute Resolution
18. Any disputes arising from auctions, or these Terms shall be resolved through negotiation,

19. Limitation of Liability
19.1. To the fullest extent permitted by law, we shall not be liable for any direct, indirect,
incidental, special, or consequential damages arising out of or in connection with your use of our
platform or participation in auctions.

19.1. We reserve the right to modify these Terms at any time without prior notice. Any changes
will be effective immediately upon posting on our platform.
21. Severability
21.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining
provisions shall remain in full force and effect.
22. Entire Agreement
22.1. These Terms constitute the entire agreement between you and us regarding the subject
matter herein and supersede all prior or contemporaneous agreements and understandings.
By using our platform and participating in auctions, you acknowledge that you have read,
understood, and agree to be bound by these Terms.

1. Types of Bidding:
Bidders may bid for items in person or online. Online bids are to be submitted through the
following platforms.

2. Binding nature of terms and conditions:
All terms and conditions set out herein are binding and by registering to bid, all bidders agree to
be bound by all of the terms and conditions and accept same as binding before registering to
bid with the intention to buy.
No bidders account can / will be approved for bidding until the said bidder has fully agreed to all
terms and conditions / terms of bidding, Bidders that have reservations or objections to any part
or all of the terms and conditions set out herein, if a bidder should object please refrain from
registering to bid as bidding constitutes an acceptance of all the terms and condition as binding.
The binding nature of these terms extends to bidders bidding in person, online by simulcast or
any other means agreed with the auctioneer in writing prior to submitting any bid.
Successful winning bidders agree that they have carefully studied and fully understand any item
before bidding.
All bidders agree that except where there is a valid manufacturer’s warranty remaining or unless
otherwise expressly stated in each individual item information, no item(s) are warranted or
guaranteed by 365 CONSULTANCY LTD or the vendor.
3. Exclusion of Sales of goods Act:
The Sales of goods Act 1979 as amended by the sales and supply of goods act 1994) and the
Unfair contract terms act Regulations,1977 / 1999 shall not apply to every sale made pursuant
to this terms and conditions. The buyer shall have no right to rely upon any conditions or
warranties implied thereby.
4. Online bidding information:
Online bidding information supplied are for guidance purposes only and shall not be relied upon
by potential bidders neither shall it be deemed correct. All potential bidders are therefore
advised not to rely on the online bidding information supplied.
All bidders are encouraged to make independent investigations for themselves to enable them
to form an independent opinion before bidding. Failure to make such investigations put the
bidders at their own risk and with no liability to 365 CONSULTANCY LTD or the vendor.
Bidders and Potential bidders are strongly advised to carefully read and fully understand all
terms and conditions before registering, agreeing to all Terms and Conditions and submitting any bids.

Bidders should understand that full funds must be cleared before any item can be released
either for collection or delivery.
6. Invoice Details:
After sale has ended, the winning invoices will be issued. Any invoice will be made payable to
365 CONSULTANCY LTD account details provided within these terms set out.
Requests to alter or update invoice details can only be provided and carried out upon fully
settling the original winning invoice, on the condition that any such change of details will incur a
payment of £25 in addition to VAT to cover administrative fee.
In the event that any bidder account suggests any alternative company details including
address, contact details, VAT Reg Number, Etc. The invoice will be made payable to the
‘Company’ along with any Directors / Shareholders.
7. How to bid:
Bidding can be done online by all potential bidders through the iBidder / BidSpotter/ the
saleroom platforms.
Bidding can also be done in person, by email or telephone if agreed with the auctioneer.

Where a bidder wins more than one item, all items will be shown on one invoice and considered

8. Bidder’s age requirement:
The minimum age for bidding is ’18’ years old. In the event that anyone under the age of 18
places a bid and wins any item, the parent or guardian of such person will be liable to settle any
outstanding invoices.
Where payment is not be received within the payment deadline, Court proceedings shall be
instituted in the Parent / Guardian’s name without exception.
9. Bidding in physical and timed auctions:
It is hereby agreed that all bids shall without exception be valid and Vendors may at any given
time during any live auction without notification alter or remove any set reserve price.
It is hereby further agreed that all bids submitted remains provisional until the reserve price has
been paid before the end of sale.
10. Buyer’s Premium Commission:
Commission is applicable to item and charged in relation to
the Hammer Price.
Bidders are to note that commission rates may vary from item to item depending on the
particular item. Buyers are advised to always check the ‘Additional Fees’ tab located on each
particular item.
VAT at the rate of 20% will be charged on all buyers’ premium commission charges.
Bidders also have a responsibility to fully calculate the total amount including hammer / bid
price, buyer’s commission and VAT where applicable.
14. VAT Rates:
Unless otherwise stated, VAT will be added on top of the final hammer price charged at the
current UK rate of 20%.
For more clarification, please see the Additional fees tab of each item of interest prior to
submitting any bid.
15. Request for removal of bids:
Upon a bid being submitted, such bid remains valid without exception and shall not be removed
or cancelled unless the bidder pays the Buyer’s Premium Commission which is otherwise
referred to as ‘Cancellation Fee”.
16.1 Provisional bids / Reserve not met:
For the highest bidder in an auction at the end of sale, 365 Consultancy Ltd may contact
vendors to allow time for the consideration of the bid.
16.2. We may contact provisional bidders in the event that the reserve is not met, provisional
bidders will be given the option to stand off of the item or agree to the sale.

All bids are valid with no exceptions and all provisional bids shall be responded to within 48
hours after the end of sale.
17. Reserve Met / On Sale:
36 Consultancy Ltd may upon any item meeting the set reserve price and such item being
marked “On Sale”, subject to the auctioneer’s discretion any item may be invoiced before the
end of sale.
Where any item is invoiced before the end of sale, the invoice is to be paid within 48 Hours, and
other payment timelines contained in this terms and condition shall be inapplicable in this
regard.
18. Buy-it-now:
Where there is a ‘Buy-it-now’ offer available, in respect of any item, any potential bidder shall
note that all additional fees attached to the item are in all events payable on the ‘Buy it now’
price.
19. After winning any item:
Upon winning an item, an invoice will be sent to the winner through electronic mail only within
24 hours after the end of auction. Unless otherwise expressly stated, all invoices are to be paid
in full by bank transfer only, not later than close of business (5pm) the following day. Cards
payments are strictly prohibited.
20. Failure to make payment:
Non-payment is totally prohibited and failure to make full payment under these terms and
conditions will result in the following.
The buyer shall on the day of cancellation, pay the buyer’s premium at the rate shown (auctions
loss) in the items "additional fee tab"; in the event that the account holder or any attached
company decides for any reason to withdraw from the purchase.
21. Proceedings for non-payment:
County court proceedings will immediately be applied for CCJ / Bailiff / Sheriff action will be
commenced to recover the outstanding fees in addition to the cost of instituting such actions
and other incidental costs.
Where a legal action is instituted at the county court proceedings for outstanding fee’s, buyer
shall be responsible for outstanding invoice amount, late payment fee’s, storage fee’s, legal fees
to recover outstanding funds, buyer’s premium charged, interest on the total outstanding
amount (at 8% per annum interest rate) and any other costs incurred.
22. Request to Cancel Sale:
In the event that a winning bidder, after winning and auction has ended, requests to cancel the
Contract / Purchase of any item, the acceptability of this request shall be at auctioneer’s
discretion. Where auctioneer concedes to the request, fees set out hereinafter will apply with no
exceptions to void the sale:
A non-negotiable cancellation fee at the rate of the buyer’s premium stated within the "additional
fees tab”.
The bidder will be liable to pay for the Re-Auction; entry fee, charged from £55+vat to £200+vat
(Auction entry fee. may vary depending on the item value)
23. Deposit Request:
Auctioneer may ask any new or existing bidder for a £300 deposit from
the account holder.
Such deposit shall be refunded by bank transfer to non-successful bidders within 48 hours of
the end of auction sale. The deposit may not be refunded where the bidder desires to leave it on
account.
24. Removal of Items:
Auctioneer may for any reason and at any given time remove any item
from any current live auction.
25. Viewing items:
The buyer is strongly advised by to view item before bidding. Any Bidder that bids without prior
viewing shall bear the responsibility for failure to exercise the right of viewing, and 365
Consultancy Ltd and the vendor shall incur no liability in this regard.

26. Item testing.
Unless otherwise expressly stated in any item information, items are not tested by 365
Consultancy Ltd.
Bidders are encouraged to study item information before submitting any bid. Bidders are
advised to view and test items before submitting bid.
Bidders are informed that vehicles shall not be tested or driven on public highways.
27. Images of Items.
Bidders are informed that all photos uploaded are strictly for the purpose of showing the interior
and exterior of the items and should be treated only as guideline.
Bidders are also informed that library photos may be uploaded in some cases where it is difficult
to obtain original images of the item.
Where example photos are used, this will be stated in the auctioneers’ notes, example photos
may not represent a true example of the vehicle/item. Please contact the auctioneer for
verification of the model as these may differ for each vehicle/item.
Bidders are further informed that damages to any item due to the item colour, photo angle or
weather sometimes may be difficult to see in images.
Images may vary owing to weather conditions and 365 Consultancy Ltd shall bear no liability for
any loss resulting from any such events.

28. Delivery/Collection
Once payment has been made you will have 5 days from that date to arrange delivery or
collection of the item by contacting us via 01638 475400. Please be aware delivery will incur an
additional charge. Failure to arrange delivery or collection within the time frame will result in a
storage fee at £50 per day on items with a value of under £10000. Items with a value in excess
of £10000 will incur storage fees at the rate of £100 per day.
29. Diamond Lots
All diamond lots have been described by the vendor and will come with GIA certification (unless
otherwise stated in which case another major gemmologist institute will be used) and grading.
Information on each specific diamond can be found in the item description for each lot. This will
include clarity and colour and all other information relating to the item updated to the best of our
knowledge.
Please look at certification numbers to search for further details not listed on the description, "LG" stands for lab grown if "LG" isnt present this usually means the stone(s) are Natural.

The Gemmological Institute of America (GIA) is one of the most respected organisations for
diamond grading and certification. GIA employs a rigorous process for grading both natural and
lab-grown diamonds, although the criteria they use may vary slightly between the two types.
Heres an overview of how GIA diamond grading works for both natural and lab-grown
diamonds:
1. Diamond Grading Process:
• Color: GIA grades diamonds on a scale from D (colourless) to Z (light yellow or brown). This
scale applies to both natural and lab-grown diamonds. The less colour a diamond has, the
higher its grade.
• Clarity: GIA evaluates the clarity of diamonds based on the presence of internal and external
flaws, known as inclusions and blemishes. The clarity scale ranges from Flawless (no
inclusions or blemishes visible under 10x magnification) to Included (inclusions and/or
blemishes visible to the naked eye).
• Cut: GIA assesses the cut of a diamond based on its proportions, symmetry, and polish. The
cut grade ranges from Excellent to Poor and evaluates how well the diamond reflects light,
maximising its brilliance and fire.
• Carat Weight: Carat weight simply refers to the weight of the diamond. One carat is
equivalent to 0.2 grams. GIA measures the carat weight with precision.
2. Natural Diamonds:
• GIA examines natural diamonds to determine their origin and authenticity. They assess
characteristics such as colour, clarity, cut, and carat weight to provide a comprehensive
grading report. The grading criteria for natural diamonds are well-established and widely

there are some differences in the grading process to accommodate the unique
characteristics of lab-grown diamonds.
